Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites, software, applications, platforms, products, services, APIs, subscriptions, professional services, support services, and other digital solutions provided by Pak2Source (“Pak2Source”, “we”, “us”, or “our”).

By accessing or using a Pak2Source service, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you should not access or use the applicable service.

These Terms are intended to apply generally to Pak2Source as a software development and technology company and are not limited to any particular third-party platform, integration, or product.

Pak2Source provides software and technology solutions that may include:

• Custom software development
• Web applications
• Desktop applications
• Business management systems
• Restaurant and point-of-sale solutions
• Websites and web platforms
• Mobile and cross-platform applications
• Business automation
• System integrations and APIs
• Database and software solutions
• Maintenance and technical support
• Hosting and technology-related services
• Other digital products and professional technology services

Specific services, features, pricing, project scope, deliverables, timelines, support arrangements, and other commercial terms may be defined in a quotation, proposal, invoice, order, subscription plan, statement of work, service agreement, or other written agreement.

Where a specific written agreement conflicts with these Terms, the specific agreement will control with respect to the applicable service or project.

You must have the legal capacity required under applicable law to enter into these Terms.

If you access or use a Pak2Source service on behalf of a company, organization, employer, or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms. In that case, “you” and “your” will refer to that entity.

Where a service requires or provides an account, login, portal, API key, license, or administrative access:

• You agree to provide accurate, current, and complete information.
• You are responsible for maintaining the confidentiality of your credentials, tokens, keys, passwords, and access permissions.
• You are responsible for all activities, actions, and transactions conducted under your account or credentials.
• You must immediately notify Pak2Source if you discover or suspect unauthorized access, loss, compromise, or security breach involving your credentials.

Pak2Source is not responsible for losses, damages, liabilities, or data exposure resulting from compromised, shared, stolen, or improperly managed credentials on your end.

You agree not to use, attempt to use, or permit others to use Pak2Source services:

• In violation of any applicable local, national, or international law or regulation.
• To infringe, misappropriate, or violate intellectual property rights, privacy rights, publicity rights, or other proprietary rights.
• To transmit, distribute, upload, or introduce malware, viruses, trojans, ransomware, spyware, harmful code, or malicious payloads.
• To disrupt, damage, impair, overburden, compromise, or interfere with servers, networks, systems, infrastructure, hosting environments, software, or third-party connections.
• To gain unauthorized access to any system, server, account, database, data, network, code, or infrastructure.
• To engage in abusive, fraudulent, deceptive, misleading, harmful, threatening, defamatory, harassing, or unlawful activities.
• To reverse engineer, decompile, disassemble, extract source code, decode, modify, or create derivative works of proprietary software, source code, applications, binaries, libraries, or architectures, except to the extent expressly permitted by applicable law that cannot be contractually excluded.
• To circumvent, disable, tamper with, bypass, or defeat any security control, licensing check, rate limit, quota, authentication system, encryption, or access restriction.
• To scrape, harvest, spider, or systematically extract data without authorization.
• To use our services, systems, or APIs to develop a directly competing service through unauthorized copying, reverse engineering, or benchmark abuse.

You or your licensors retain ownership of materials, text, media, graphics, databases, product catalogs, customer records, transaction details, logos, files, and data that you submit, upload, host, integrate, or process through a Pak2Source service (“Customer Content” / “Customer Data”).

You grant Pak2Source a non-exclusive, worldwide, limited right and license to use, host, reproduce, transmit, modify (for formatting or display purposes), process, and display Customer Content solely as necessary to:

• Provide, operate, deploy, configure, maintain, and support the services.
• Perform contractual obligations under your project or agreement.
• Comply with applicable law, regulatory obligations, or legal process.
• Detect, investigate, and mitigate technical, operational, or security issues.

You represent and warrant that you own or possess all rights, titles, permissions, licenses, and consents required to provide Customer Content to Pak2Source without violating third-party rights or applicable laws.

A. Pak2Source IP: All rights, title, interest, and intellectual property in and to Pak2Source websites, software, standard modules, templates, reusable code, libraries, UI/UX designs, frameworks, algorithms, architectures, brand names, trademarks, logos, trade secrets, documentation, and underlying technologies remain the exclusive property of Pak2Source or its licensors.

Except as expressly granted in these Terms or in a written project agreement, no rights, licenses, or title are granted to you by implication, estoppel, or otherwise.

B. Custom Deliverables: Where Pak2Source provides custom development deliverables under a written agreement, quotation, invoice, or statement of work, ownership, license scope, and transfer of rights (if any) will be governed by the applicable written agreement and are subject to full and final payment of all agreed fees.

Unless an agreement expressly states otherwise in writing, Pak2Source retains ownership of pre-existing intellectual property, reusable libraries, frameworks, tools, modular components, architecture patterns, utilities, and general knowledge used to create or deliver a project.

C. Feedback: If you provide suggestions, feature requests, comments, or recommendations regarding Pak2Source services, Pak2Source may use and incorporate that feedback without restriction, credit, or compensation.

Pak2Source services may integrate with, connect to, rely on, or interoperate with third-party software, platforms, products, tools, services, or APIs, including but not limited to:

• Social media and messaging platforms (such as TikTok, Meta/WhatsApp, Google, or others).
• Payment gateways and processors.
• Hosting providers, cloud servers, and content delivery networks.
• SMS gateways, email delivery systems, and communication APIs.
• Government, tax, or regulatory platforms (such as FBR, ZATCA, or other e-invoicing platforms).
• Third-party databases, CRMs, ERPs, or business tools.

Regarding third-party services:

• Third-party platforms are governed solely by their own terms, policies, privacy notices, developer rules, and conditions.
• You must comply with all third-party terms applicable to your use of those platforms or integrations.
• Pak2Source is not responsible for the availability, uptime, policies, decisions, API changes, pricing changes, deprecations, limitations, performance, outages, account bans, account suspensions, or actions of third-party platforms.
• If a third-party platform modifies, restricts, suspends, throttles, terminates, or limits access to its APIs, services, developer accounts, or platforms, Pak2Source may modify, suspend, or discontinue the related integration without liability.

Fees for software, development, customization, subscriptions, licenses, hosting, setup, maintenance, and support are specified in the applicable quotation, proposal, invoice, agreement, order form, or pricing schedule.

• You agree to pay all applicable fees according to the agreed payment schedule, invoice terms, or subscription billing cycle.
• Unless otherwise agreed in writing, fees are non-refundable once work has commenced, licenses have been issued, software has been delivered, or access has been provided.
• Late payments may result in interest charges, suspension of services, delayed project milestones, withholding of deliverables, or termination of access.
• You are responsible for taxes, duties, levies, withholdings, and governmental assessments associated with your purchase, other than taxes based on Pak2Source's net income.

For custom development, implementation, consulting, and technical services:

• Scope: Work will be performed based on the agreed written scope of work, technical requirements, proposal, or quotation.
• Change Requests: Requests for changes, additions, features out of scope, altered designs, or expanded functionality may require additional fees, adjusted pricing, and extended timelines.
• Client Cooperation: Timely project delivery depends on your cooperation. You agree to provide required assets, access, credentials, content, specifications, approvals, testing feedback, and sign-offs within reasonable timeframes. Pak2Source is not responsible for project delays caused by client inaction or third-party dependencies.
• Acceptance & Testing: Deliverables will be reviewed, tested, or accepted according to the applicable agreement. Unless an agreement specifies otherwise, deliverables will be deemed accepted if no written defect notice is provided within the agreed review window.

Pak2Source aims to deliver reliable, robust, and functional technology solutions.

• Except where expressly guaranteed in a written Service Level Agreement (SLA) signed by Pak2Source, we do not warrant that our services, software, websites, or integrations will be uninterrupted, error-free, completely secure, or permanently available.
• Services may experience downtime, interruption, or slowness due to scheduled maintenance, emergency maintenance, updates, technical upgrades, network congestion, server issues, power disruptions, software defects, hardware failure, cyber incidents, or third-party outages.
• Support services, response times, hours of availability, and scope of assistance are governed by your applicable support plan, contract, or service agreement.

Unless Pak2Source has explicitly agreed in writing to manage, maintain, and execute backup services for your environment under a specific hosting or managed-services contract, you are solely responsible for maintaining independent, regular, verified, and secure backups of your data, software, configurations, records, databases, and content.

Pak2Source is not liable for data loss, data corruption, database errors, or operational disruption resulting from failure to maintain proper backups.

“Confidential Information” means non-public proprietary, technical, operational, financial, commercial, or business information disclosed by one party to the other in connection with services or negotiations, whether marked confidential or reasonably understood to be confidential.

Each party agrees to:

• Protect the disclosing party's Confidential Information with reasonable care.
• Use it only to perform obligations or exercise rights under these Terms or related agreements.
• Not disclose it to third parties, except to personnel, contractors, legal/financial advisors, or subcontractors who need to know and are bound by confidentiality obligations at least as protective as these.

Confidential Information does not include information that is publicly known without breach, already known to the receiving party without obligation, independently developed, or lawfully obtained from a third party without restriction.

Except as expressly set forth in a written agreement between you and Pak2Source, our services, software, deliverables, websites, platforms, integrations, and content are provided on an “as is” and “as available” basis.

To the maximum extent permitted by applicable law, Pak2Source disclaims all warranties, express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy, system integration, and results of use.

Pak2Source does not warrant that:

• Services will satisfy every business requirement.
• Services will be uninterrupted, timely, secure, or bug-free.
• Every defect, bug, or error will be corrected immediately.
• Data transmission across the internet or cloud will remain immune from interception or breach.

To the maximum extent permitted by applicable law:

• In no event will Pak2Source, its owners, directors, employees, contractors, partners, suppliers, or licensors be liable for any indirect, incidental, special, consequential, punitive, exemplary, or reliance damages, including damages for loss of profits, lost revenue, lost sales, lost contracts, loss of business, loss of goodwill, loss of reputation, loss of data, loss of anticipated savings, business interruption, system downtime, computer failure, or procurement of substitute services, regardless of legal theory, whether based on contract, tort (including negligence), strict liability, breach of warranty, or otherwise, and whether or not Pak2Source was advised of the possibility of such damages.
• To the maximum extent permitted by law, Pak2Source's aggregate, cumulative liability arising out of, relating to, or in connection with these Terms, our services, software, contracts, or deliverables will not exceed the total amount actually paid by you to Pak2Source for the specific service, license, or project giving rise to the claim during the three (3) months immediately preceding the event giving rise to liability, or PKR 50,000 (fifty thousand Pakistani Rupees), whichever is lower, unless a signed written contract between the parties expressly specifies a different liability cap.

You agree to defend, indemnify, and hold harmless Pak2Source, its owners, directors, officers, employees, contractors, affiliates, agents, and licensors from and against any and all claims, demands, liabilities, damages, losses, costs, expenses, judgments, fines, and legal fees (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of our services or software.
• Your Customer Content, data, business operations, transactions, records, or products.
• Your breach of these Terms, project agreements, acceptable use rules, or applicable laws.
• Your violation of any third-party rights, including intellectual property, privacy, or proprietary rights.
• Your use, configuration, or management of third-party platforms, APIs, integrations, or developer accounts.

Pak2Source may suspend, throttle, restrict, or terminate your access to services, accounts, licenses, APIs, or portals immediately and without prior notice if:

• You fail to pay undisputed fees when due.
• You breach these Terms or any applicable service agreement.
• Your use poses a security risk, technical hazard, or legal threat to Pak2Source, our infrastructure, or third parties.
• Required by law, court order, regulatory agency, or third-party platform rule.
• You become insolvent, enter bankruptcy, cease operations, or compromise creditor rights.

You may terminate your service according to the terms specified in your written agreement, invoice, or subscription schedule.

Upon termination:

• Rights, licenses, and access granted to you under these Terms will immediately cease.
• Outstanding balances, unpaid invoices, and accrued fees become immediately due and payable.
• Provisions that by their nature should survive termination will survive, including IP rights, fees, confidentiality, disclaimers, liability limitations, indemnification, and dispute resolution.

These Terms, contracts, services, and any disputes, controversies, or claims arising out of or in connection with them will be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles.

The parties agree that before initiating formal litigation, they will make good-faith efforts to resolve any dispute informally through mutual discussion and executive consultation.

If informal discussion fails, courts having competent jurisdiction in Lahore, Pakistan, will have exclusive jurisdiction over any disputes, claims, or actions arising under or relating to these Terms or Pak2Source services, unless a specific signed written agreement between the parties provides for alternative arbitration or jurisdiction.

Neither party will be liable for delay, non-performance, or failure to perform obligations (other than payment obligations) caused by events beyond reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, riots, strikes, labor shortages, governmental orders, embargoes, grid failure, telecommunication failures, major internet outages, cyberattacks, hosting provider collapse, or platform restrictions.

By using Pak2Source services, you consent to receive electronic communications from us, including emails, invoices, notices, service updates, policy changes, and legal messages.

Electronic notices, disclosures, and agreements satisfy any legal requirement that such communications be in writing.

Severability: If any provision of these Terms is found to be illegal, invalid, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is impossible, and remaining provisions will remain in full force and effect.

Waiver: No failure or delay by Pak2Source in exercising any right, power, or remedy will operate as a waiver of that right or any other right.

Entire Agreement: These Terms, together with any written proposals, quotations, invoices, service agreements, statements of work, or accepted order forms, constitute the entire agreement between you and Pak2Source regarding the subject matter and supersede all prior or contemporaneous discussions, representations, negotiations, or understandings.

Pak2Source may update, revise, amend, or modify these Terms from time to time to reflect changes in our business, services, legal requirements, technology, security standards, or third-party platform rules.

When changes are made, we will publish the updated version on our website and update the “Last Updated” date at the top of these Terms.

Your continued access to or use of Pak2Source services following the publication of revised Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of our services.
